Course
A review of the typical process for closing a lending transaction, from picking a closing date, to conditions precedent and conditions subsequent, closing checklists, preparing for closing, and closing day.
During the session
- What does the standard process of a loan transaction closing look like?
- What are some factors that might affect the closing date?
- What kinds of tasks is lender’s counsel typically responsible for during the closing process? What about borrower’s counsel?
- What information is typically set out in the borrowing notice?
- What’s the purpose of a funds flow memorandum?
- What do the parties confirm during their meeting on closing day?
Lead a group discussion based on the exercise. To encourage collaboration, divide the attendees into groups to discuss the exercise, then have a representative from each group summarize their views to the larger group. Call on people to share their thoughts and ask others to respond.
